Ethics and Compliance

As we pursue our objectives, we must at all times continue to conduct ourselves and our business in a manner that is in compliance with the law, and with the principles of integrity, loyalty and respect.

Marc Prikazsky, Chairman & CEO

Ceva Animal Health and its subsidiaries and affiliated companies, (collectively “Ceva”), has adopted an Ethics and Compliance Programme that defines the conduct that we expect of each of our employees, as well as those third parties with whom we choose to do business. The procedures and policies implemented by Ceva ensure compliance with national and international laws and regulations, as well as ethical standards.

This Ethics and Compliance Programme is supported by many resources within Ceva to ensure its effectiveness:

Our policies and regulations supporting responsible business operations: Our Code of Ethics and Business Conduct, along with related policies.

The Ceva Group is committed to fair, transparent, and lawful operations. We take a firm stand against bribery, corruption, money laundering, and the financing of terrorism, and we enforce strict internal policies to this end.

Our guidelines provide clear direction on key compliance areas, including anti-bribery, anti-corruption, anti-money laundering, and international sanctions. They help our employees ensure full compliance with applicable laws, industry regulations, and the Ceva Group Code of Ethics in all business activities.

We expect the same commitment from our suppliers, contractors, and all business partners. Our shared goal is to ensure that every collaboration is built on the principles of integrity, accountability, and ethical business conduct.

To support our employees, we provide a wide range of development opportunities that help them perform their work in accordance with the Ethics and Compliance Program. These include online training materials, face-to-face training sessions, and role-specific preparation programs.

In addition, our employees have access to a dedicated intranet platform containing all relevant Ethics and Compliance Program documents, including the Code, related policies, and frequently asked questions (FAQs).

Our employees can report actual or suspected violations through several internal channels. This is in line with their obligation under our Code of Ethics and Business Conduct to report any potential ethical or compliance issues to Ceva.

We continuously monitor and audit our business activities to ensure compliance with applicable laws, as well as our corporate guidelines and policies. When potential ethics and compliance violations are raised, we take the necessary action and, where justified, investigate the reports. This ensures that our operations comply with all applicable laws and ethical standards.

Any person found to be involved in any violation related to the Ethics and Compliance Program may be subject to disciplinary action (in the case of employees) or contract termination (in the case of business partners, suppliers, agents, distributors, representatives, and/or customers).
